About these Terms
These Terms apply to every tradesperson, contractor or firm ("Partner") who registers on the Darani Platform to carry out work for Darani's customers. They are an agreement between the Partner and Darani Integrated Solutions Private Limited (CIN U81100KA2026PTC227347) ("Darani"). By registering, the Partner accepts these Terms.
Registration and verification
The Partner will provide accurate details and documents, including identity and address proof, PAN, bank details, GSTIN (if registered), trade certificates or licences required for the work, and any other documents Darani reasonably asks for. Darani may verify these and may refuse or remove a Partner at its discretion.
The Partner is an independent contractor, not an employee, agent or partner of Darani.
How work is offered
Darani may send the Partner requests for quotation or jobs. The Partner will respond to a request for quotation within 2 working days. There is no guarantee of any minimum volume of work.
Partner quotations are submitted to Darani only. Darani prepares the customer's quotation. Customers are not shown Partner identities or individual bids.
Standards on site
Work to the scope, quality and timeline on the Service Request, and follow good trade practice.
Use correct tools and personal protective equipment, and follow all safety laws; never work on live electrical systems or at height without proper precautions.
Represent Darani on site: wear the Darani ID or uniform if provided, be courteous, keep the Site clean, and do not hand out the Partner's own business cards or contact details.
Report any delay, defect, hazard or extra work to Darani before acting on it.
Take before and after photographs when Darani asks.
No direct dealing
The Partner will not take payment from a Darani customer, and will not offer or accept work from a Darani customer outside the Platform, during the engagement and for 12 months after the last job for that customer.
Customer data and confidentiality
The Partner will use customer names, numbers, addresses and job details only to carry out the assigned job; will not store, share or use them for anything else; and will delete them when the job is closed. This is required by the Digital Personal Data Protection Act, 2023.
The Partner will keep Darani's prices, processes and business information confidential.
Payment
Darani pays the Partner the agreed amount for each completed and accepted job, less any agreed deductions, within 30 days of job closure, by bank transfer. The Partner will issue a valid invoice (with GST if registered). Tax is deducted at source where required by law.
Quality, warranty and liability
The Partner will put right, at its own cost, any defect in its workmanship reported within the warranty period given to the customer.
The Partner is responsible for loss or damage caused by its negligence or that of its workers, and will keep suitable insurance for its trade where Darani requires it.
Ratings and removal
Darani tracks Partner performance through customer feedback, timeliness, quality checks and complaints. Darani may pause or remove a Partner for poor performance, safety breaches, misconduct, direct dealing with customers, or breach of these Terms.
General
These Terms are governed by the laws of India. Disputes will be resolved by arbitration in Bengaluru before a sole arbitrator appointed by mutual agreement under the Arbitration and Conciliation Act, 1996. The courts at Bengaluru have jurisdiction subject to this. Darani may update these Terms with notice to the Partner.
